Paramount Clears Key Hurdle for $110 Billion Warner Bros. Discovery Merger

The merger between Paramount and Warner Bros. Discovery has moved closer to completion after the companies reached a settlement with the state attorneys general who had filed suit to block the deal.

The proposed consent decree, filed with the court, outlines several commitments Paramount must fulfill. Over the next five years, the company must maintain minimum theatrical film release schedules, starting with 30 releases in each of the first two years and 32 releases annually thereafter. Additionally, Paramount has agreed to increase its U.S. production spending by at least $300 million compared to its 2025 levels.

The settlement also includes provisions governing negotiation terms, though specific details were not fully disclosed. The resolution clears one of the most prominent legal challenges to the consolidation, which would create one of the largest media companies in the entertainment industry.

The deal, valued at approximately $110 billion, represents a significant reshaping of the media landscape, combining major film studios, television networks, and streaming platforms under a unified corporate structure.
