Marvell to Acquire Lumentum in All-Stock Bet on AI Connectivity
Marvell Technology has agreed to acquire Lumentum in an all-stock transaction that combines two semiconductor and optical-connectivity businesses at a time of rising demand for AI infrastructure.
The deal is primarily presented as a bet on the connectivity required by AI data centers. Lumentum specializes in photonics and optical components, technologies used to move data through systems and over networks. Marvell already operates in data-center and AI-related semiconductor markets, making the acquisition a way to broaden its exposure to the physical infrastructure supporting AI workloads.
Most outlets reported the transaction’s value at $115 billion, making it one of the semiconductor industry’s largest announced deals. The Wall Street Journal’s headline instead described it as an $80 billion deal, so the two reported figures have not been reconciled in the available coverage.
The transaction is structured entirely in stock rather than cash. Both companies’ shares fell following the announcement, suggesting that investors weighed the scale of the deal and its implications for the combined business.
Overall, the merger highlights the scale of investment being directed toward AI’s underlying hardware. As AI systems require larger volumes of data and faster connections between processors, memory, and networking equipment, semiconductor companies are increasingly pursuing acquisitions that combine complementary capabilities.
